SERVICE AGREEMENT

1. DEFINITIONS

  • “Deliverables”: The final products, reports, documents, or any materials produced as part of the Services.
  • “Confidential Information”: Any proprietary or sensitive information shared between the Parties during the course of this Agreement.

2. SCOPE OF SERVICES

The Service Provider agrees to perform the following Services:

6. SERVICE PROVIDER’S RESPONSIBILITIES

  2. Meet the quality standards set forth in this Agreement.
  3. Communicate regularly with the Client and provide status updates as requested.

7. CONFIDENTIALITY

Both Parties agree to:

  1. Keep all proprietary or confidential information disclosed during the course of this Agreement confidential.
  2. Not disclose any confidential information to third parties without prior written consent from the disclosing Party, unless required by law.

8. INTELLECTUAL PROPERTY

  1. Ownership of Deliverables: Upon full payment, the Client will own all intellectual property rights to the Deliverables created under this Agreement.
  2. Pre-existing IP: The Service Provider retains ownership of any pre-existing intellectual property incorporated into the Deliverables.
  3. License: The Client receives a non-exclusive, royalty-free license to use the Deliverables for their intended purposes.

9. INDEMNITY AND LIABILITY

  1. Indemnification: The Client agrees to indemnify and hold the Service Provider harmless from any third-party claims, damages, or losses arising from the use of the Services or Deliverables.
  2. Limitation of Liability: The Service Provider’s liability under this Agreement will be limited to the total amount paid by the Client for the Services.

10. TERMINATION

  1. Termination by the Client: The Client may terminate this Agreement upon [X] days’ written notice if the Service Provider breaches any material term.
  2. Termination by the Service Provider: The Service Provider may terminate this Agreement if the Client fails to make timely payments or otherwise breaches the Agreement.
  3. Effect of Termination: Upon termination, the Client agrees to pay for all services provided up to the termination date. The Service Provider will deliver any work completed at the time of termination.

11. DISPUTE RESOLUTION

  1. Negotiation: The Parties agree to first attempt to resolve any disputes through good faith negotiation.
  2. Mediation: If the dispute cannot be resolved through negotiation, it will be submitted to mediation.
  3. Arbitration: If mediation fails, the dispute will be resolved through binding arbitration under the rules of [Arbitration Body].

12. MISCELLANEOUS

  1. Entire Agreement: This Agreement represents the entire understanding between the Parties and supersedes any prior agreements.
